These Terms & Conditions ("Terms") govern your access to and use of the website asiflokhandwala.com (the "Website") and the Online Text Consultation subscription service (the "Service") provided by Erhem Technologies Co. L.L.C ("Erhem Group," "we," "us," or "our"). By purchasing a subscription, creating an account, or using the Service, you ("the client," "you," or "your") agree to these Terms in full.
1. Acceptance and Precedence of Terms
By placing an order or using the Service, you accept these Terms. You explicitly waive your own standard terms and conditions, even if these were drawn up after these Terms. Any derogation from these Terms must be expressly agreed in advance and in writing to be valid.
2. The Service
The Service provides unlimited online text-based consultation with Mr. Asif Lokhandwala and our consultation team during your active subscription period. Consultations offer general business, professional, and personal growth guidance delivered by text message.
The Service does not include research, analysis, or implementation services. Where such services are required, they may be availed for additional charges at the rate then in effect (currently USD 80 per hour, subject to change). Any such work is subject to a separate agreement or written confirmation.
3. Subscriptions, Plans, and Renewals
The Service is offered on a subscription basis (for example, monthly or quarterly plans) at the prices displayed on the Website at the time of purchase. Subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date. You authorize us and our payment provider to charge the applicable fee at each renewal until you cancel.
4. Payment Terms
Subscription fees are charged in advance through our payment provider. For any invoiced amounts, our invoices are payable within 7 working days, unless another payment timeframe is indicated on the invoice or order.
In the event of late or failed payment, Erhem Group is authorized to suspend the provision of services without prior warning until payment is received.
5. Outstanding Payments and Recovery
If a payment remains outstanding more than sixty (60) days after the due payment date, Erhem Group reserves the right to engage the services of a debt recovery company. All legal and recovery expenses incurred will be payable by the client.
6. Taxes and Withholding
Certain countries apply withholding at source on invoice amounts in accordance with their internal legislation. Any such withholding at source will be paid by the client to the relevant tax authorities. Under no circumstances will Erhem Group become involved in costs related to a country's legislation. The full amount of the invoice is therefore due to Erhem Group in its entirety and does not include any costs relating to the legislation of the country in which the client is located.
7. Refunds
All refunds are processed at our discretion and, where granted, usually within 7 days of the invoice payment date. Refund requests should be sent to info@erhemgroup.com.
8. Cancellation
You may cancel your subscription at any time through your account or by contacting us. Cancellation stops future renewals; it takes effect at the end of your current paid billing period, and you retain access to the Service until that period ends. Except as set out in Section 7, fees already paid for the current period are non-refundable.
9. Nature of the Service — No Obligation of Result
Erhem Group undertakes to do its best to supply performant services in due time and in accordance with any agreed timeframes. However, none of its obligations can be considered an obligation to achieve results. The guidance provided is advisory in nature, and you remain solely responsible for your own decisions and actions.
Erhem Group cannot, under any circumstances, be required by the client to appear as a third party in the context of any claim for damages filed against the client by an end consumer or any other party.
10. Acceptable Use
You agree to use the Service lawfully and respectfully. You may not use the Service to send unlawful, abusive, threatening, or harassing content, to seek advice for illegal purposes, or in any way that disrupts or harms the Service or other users. We may suspend or terminate access, without refund, for breach of this section.
11. Not Regulated Professional Advice
The Service provides general strategic, business, and personal growth guidance. It does not constitute regulated legal, financial, investment, medical, tax, or other licensed professional advice, and no professional-client relationship of that nature is created. You should seek appropriately licensed professionals for such matters before acting.
12. Claims and Complaints
In order for it to be admissible, Erhem Group must be notified of any claim by means of a letter sent by recorded delivery to its registered office within 8 days of the provision of the services. This does not affect any non-waivable statutory rights you may have under applicable mandatory law.
13. Intellectual Property
All content on the Website and any materials provided through the Service — including text, guidance, frameworks, branding, and the book "Calm Is the New High" — are the property of Erhem Group or its licensors and are protected by applicable intellectual property laws. Consultation responses are provided for your personal use and may not be resold, republished, or redistributed without our written permission.
14. Confidentiality
We treat the content of your consultations as confidential and use it only to provide the Service, as further described in our Privacy Policy. You likewise agree to keep any non-public methods, materials, or advice shared with you confidential.
15. Limitation of Liability
To the maximum extent permitted by law, Erhem Group shall not be liable for any indirect, incidental, special, or consequential damages, or for any loss of profits, revenue, data, or business arising out of or in connection with the Service. To the extent liability cannot be excluded, our total aggregate liability shall not exceed the amount you paid to us for the Service in the three (3) months preceding the event giving rise to the claim.
16. Availability
We aim to keep the Service available at all times but do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue parts of the Service for maintenance, updates, or reasons beyond our reasonable control.
17. Changes to These Terms
We may update these Terms from time to time. The "Last updated" date reflects the latest version. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
18. Governing Law and Jurisdiction
All our contractual relations will be governed exclusively by the laws of the United Arab Emirates. The competent courts of Dubai, United Arab Emirates, shall have jurisdiction over any dispute, subject to any mandatory consumer protections that may apply in your country of residence.
